Vendor Terms of Service

Meradh operates an online marketplace. You are an independent seller of record for the products you list, and Meradh acts as an intermediary that facilitates listings, order routing, payment collection and delivery logistics. Nothing in these Terms creates an employment, partnership or agency relationship beyond the limited authority you grant Meradh to collect payments and arrange logistics on your behalf.

You must provide accurate business details and valid documents — including GSTIN, PAN and bank/settlement details — and keep them current. Meradh may verify these and may reject or suspend accounts with incomplete, false or unverifiable information.

You are responsible for the accuracy and legality of your listings. You must:

• Provide truthful titles, descriptions, images, prices (MRP inclusive of taxes) and correct HSN codes;
• Comply with the Legal Metrology (Packaged Commodities) Rules, including net quantity, MRP and country of origin disclosures;
• Hold all rights to the content and brands you list, and not infringe any third-party intellectual property;
• Not list prohibited, counterfeit, unsafe or restricted items.

You set your product prices. Meradh charges a platform commission and applicable fees, calculated on the gross order value as set out in your Seller Agreement / fee schedule. Applicable taxes, TDS (0.1% (Section 194-O)) and TCS are deducted as required by law.

You must accept and dispatch confirmed orders within 2 business days, pack securely, and hand over to the assigned logistics partner. Persistent cancellations, delays or out-of-stock listings may attract penalties or deactivation. See the Fulfilment & Shipping Policy.

You must honour the platform's Returns & Reverse-Logistics Policy, including the 7-day customer return window, exchanges (same product, different variant), and restocking of returned inventory. Refund amounts for returned items are adjusted against your settlements.

Sale proceeds are settled to your registered account net of platform commission, applicable taxes and TDS/TCS, on the settlement cycle communicated to you. Settlement for an order is released after the applicable return window / delivery confirmation. Returned or cancelled line items are excluded from settlement.

You agree to deal fairly with customers and Meradh, not to manipulate reviews or ratings, not to divert customers off-platform, and to comply with all applicable laws. Breach may lead to warnings, holds on settlement, penalties, or termination.

Meradh may suspend or terminate your account for breach of these Terms, fraud, repeated performance failures, or where required by law. On termination, pending settlements are released after adjusting for open returns, chargebacks and dues.

You are liable for your products and listings and agree to indemnify Meradh against claims arising from them (including product-liability, IP and statutory-compliance claims). Meradh's liability to you is limited as set out in the Seller Agreement, to the extent permitted by law.

These Terms are governed by the laws of India, and the courts at Surat, Gujarat have exclusive jurisdiction, subject to applicable law.
